PART ONE: DESIGN AGREEMENT

1. Design and Approval

(a) The Artist shall submit to the Commissioner design(s), drawing(s) or model(s) on or about
the ...................day of ........................20....

(b) Within .................days of submission of the design the Commissioner shall advise the Artist
as to approval or otherwise of the design.

2. Fees

The Commissioner shall pay a design fee of $............to the artist;

Half on receipt of the design(s) $...........

3. Changes

If the Commissioner requests an additional design, the artist shall submit up
to........additional designs and the Commissioner shall pay an additional fee of
$.............upon receipt of each design. Up to ..........changes to each design will be
inclusive in the design fee.

4. Commissioner's Representatives

(if Commissioner is a group, company or
organisation) The Commissioner hereby appoints................................................who will speak
for and bind the Commissioner with respect to any acts required of the Commissioner
by this agreement, including approval of drawings and designs, authorisation of payments,
acceptance of finished Work and changes in this agreement.

5. Copyright

Copyright in all design(s) for the work is retained by the Artist.

6. Ownership of plans, designs, models, etc.

Upon payment of the design fees, the plans, design(s), models etc. shall be the property
of the Artist/Commissioner. (Delete as applicable)

7. Termination

(a) Prior to the delivery of the design(s) either the artist or the Commissioner may terminate this
agreement by notice to the other in writing.

(b) If the Commissioner terminates (for any reason other than the artist's failure to submit the
design(s) within the time specified), the artist shall be entitled to the total design fee payable
under this agreement. If the Commissioner terminates on the ground that the designs were
not submitted within the time specified, no fee will be payable and the artist will refund any
fees already paid.

(c) Should the Artist terminate this agreement for any reason other than breach by the Commissioner,
no design fee shall be payable.

8. Intention to Proceed

Upon approval of the design(s) under Clause 1(b) both parties agree to sign the Commission
Agreement which is Part 2 of this document.

9. Non-Assignability

Neither party shall have the right to assign this agreement without prior written consent
of the other party.

10. Relevant Law

This contract shall be construed in accordance with the law of N.S.W.

11. Disputes

Should any dispute arise concerning any matter referred to in this contract, the dispute will
be referred to the arbitration of two arbitrators, one to be appointed by each party. In the event
of the arbitrators disagreeing, the dispute will be referred to an umpire selected by the
arbitrators. No further action or suit will be brought by either party until an award has first
been obtained by the arbitrators or umpire.

PART TWO: COMMISSION AND SALE AGREEMENT

between Marc Grunseit Studio Glass (the Artist) and
....................................................................(the Commissioner) by which we agree as follows:

1. Commission

The Artist agrees to complete the following proposed work of art (the 'Work')

2. Performance

The artist shall commence the work on or about the......................day of .......................20.....

and shall complete the work on or about the ................................day of........................20.....

Time for completion shall be extended to cover delays caused by labour strikes, non-availability
of necessary materials, shipping delays, severe weather, injury or illness to the Artist, acts of God
or delays caused by the Commissioner.

3. Fees

The Commissioner agrees to pay the Artist the sum of $.............in the following instalments:

(i) One half on the signing of this agreement

(ii) One half on delivery of the completed work OR (Delete as applicable)

According to the schedule of progress payments forming an attachment to this document.

4. Access to the site and the work

If the work is to be created on the artist's premises, the Commissioner has the right to make
reasonable inspection of the work at any stage of completion upon allowing the artist reasonable
notice.

5. Changes prior to completion

Should the Commissioner or Artist desire to change the design after approval of the original
designs, a written memorandum of such change shall be made and signed by both parties. This
memorandum shall describe the change and provide for an additional agreed compensation to be
paid to the artist.

Neither party need agree to any requested change unless refusal to agree would render further
performance of this contract by the Artist impossible due to the unavailability of materials or
unforseen physical prohibitions.

6. Completion

It is understood that the Artist will use aesthetic skill and judgement to create the Work and the
Commissioner agrees to accept the completed Work unless the Commissioner can show that the
Work was not executed substantially in accordance with the approved design.

7. Delivery

Unless the Work is to be created on site, the Commissioner/Artist* shall arrange and pay for the
delivery (proper packaging, transport, insurance) of the completed Work to:

8. Installation*

(a) The Artist shall install the Work on site, on or before the....................day of..................20...*

The cost of installation shall be inclusive in the fees/shall be $...............................................*

(b) The Commissioner shall arrange and pay for installation of the Work, which shall be carried out
under the supervision of the Artist.*

9. Risk of Loss or Damage

(a) Risk of loss or damage to the work during creation and until delivered to the Commissioner, shall
be solely that of the artist.

(b) If the artist is to install the Work under Clause 8(a) the artist shall/shall not* be responsible for
the Work during installation.

(c) If the Commissioner is to install the Work under Clause 8(b) the Commissioner will be responsible
for the Work during installation.

10. Reproduction and Copyright

The artist reserves copyright, except as provided in Clause 16(d) of this agreement.

11. Title

Legal title to the Work shall pass from the artist to the Commissioner on the final payment being
made to the artist by the Commissioner.

12. Authorship

A notice including the Artist's name, shall be provided by the Commissioner and shall be
permanently and publicly displayed and identified with the Work.

13. Non destruction, Alteration, Maintenance

(a) The Commissioner agrees not to destroy, damage, alter or modify intentionally, the Work, in any
way whatsoever. If any such alteration to the Work occurs, the Artist has the right to demand that
the Work shall no longer be represented to be the work of the Artist.

(b) The Artist agrees to provide cleaning and maintenance instructions as appropriate, but the
Commissioner shall be responsible for the proper cleaning, maintenance and protection of the
work.

14. Relocation

If any relocation of the Work is necessary, the Artist will be informed by the Commissioner and
consulted as to the transport and relocation of the Work. If any alteration to the site or relocation
of the Work is made without the express written approval of the artist, the Artist may, at the
expense of the owner, remove or have removed any notice, signature or emblem identifying the
Artist with the Work.

15. Warranty and Repairs

(a) The artist warrants that the Work will be produced in high quality materials and will be well made.

(b) Should any repairs to the Work be necessary, to the extent that it is practicable, the Artist shall be
given the opportunity to do the repairs for a proper fee.

16. Termination

(a) By Commissioner

In the event that the Artist breaches a condition of this agreement, the Commissioner shall give
written notification of the breach to the artist, who will have seven days in which to remedy or
to set in train the remedy for the breach. If the breach is not remedied within one month or if it is
not possible to remedy the breach, the Commissioner may terminate the agreement by giving the
Artist written notice of the termination and may recover all monies already paid to the artist.

(b) By Artist

The artist may terminate this agreement by notice in writing to the Commissioner if the
Commissioner is more than thirty days late in making payment. The Artist shall be entitled to
receive and retain payment for all work done up to the date of sending such notice. The Artist
shall also be paid a proportion of the final instalment which would have been due had the Work
been completed, based on the stage of completion of the Work which has been reached at the
time of termination.

If the Artist terminates this agreement by giving notice in writing where there has been no breach
by the Commissioner, the Artist must refund all monies paid to him under this contract by the
Commissioner.

(c) General

If this agreement is terminated under either subsection (a) or (b) above, the Artist shall retain
title to the Work and all copyright. The Artist shall have sole right to complete, exhibit and sell
the work and all preliminary designs for the Work.

(d) This contract will terminate automatically on the death or incapacity of the Artist, in which case
the Artist or the estate shall retain all payment made and owed to the Artist and the
Commissioner shall have the right to keep copies of preliminary designs and to keep the Work in
progress, for the sole purpose of completing the Work. The Work will be completed by a crafts
person acceptable to both the Artist/Artist's estate and to the Commissioner. If the Commissioner
does not wish to have the Work completed, all copies of the designs, models and the Work in
progress will become the property of the Artist or the estate.

17. Non-Assignability

Neither party shall have the right to assign this agreement without prior written consent of
the other party.

18. Relevant Law

This contract shall be construed in accordance with the law of N.S.W.

19 Disputes

be referred to the arbitration of two arbitrators, one to be appointed by each party. In the event
